Department of Consumer Protection Announces Results of
Weekend Alcohol Compliance Checks in Greenwich

HARTFORD, August 28 – The Connecticut Department of Consumer Protection (DCP) is announcing the results of a series of compliance checks that was conducted in Greenwich on Saturday, August 25th in collaboration with the Greenwich Police Department to identify stores that would sell alcohol to persons under the legal age of 21. All 29 liquor stores and grocery stores that sell beer were tested for compliance; six failed by selling to the minor who was part of the undercover operation.

The failed stores are:
Val’s Buy-Rite, 125 West Putnam Avenue
East Port Chester Wine and Liquors, 105 Mill Street, Byram
Bellmore Wine and Liquor, 380 West Putnam Avenue
Wine Wise, 120 East Putnam Road
IGA , 1059 North Street
Holly Hill Deli, 140 Hamilton Avenue

“These routine, statewide alcohol compliance checks that help us identify locations that would sell alcohol to minors are important in curbing youth access to alcohol and reducing the tragic consequences often linked with underage drinking,” Consumer Protection Commissioner Jerry Farrell, Jr. said. “Liquor retailers are expected to be diligent in asking for and examining identifications, and we encourage them to make this part of their everyday business practice. I want to extend our thanks to the Greenwich Police Department for collaborating with us, and sincere congratulations to the 23 Greenwich stores that demonstrated full compliance with the law.”

The stores that successfully passed the compliance test by refusing to sell to the minor are:

Post Wine and Spirits, 230 Post Road
Riverview Wines and Spirits, 340 Palmer Hill Road
Sam’s Package Store, 230 Sound Beach Avenue, Old Greenwich
Cos Cob Liquor, 130 Post Road
A & P Wines and Spirits, 1237 Boston Post Road, Old Greenwich
Horseneck Wine and Liquor, 25 East Putnam Avenue
Bruce Park Liquors, 272 Mason Street
Madison Wine and Liquor, 1 North Water Street
AOC Wines, 195 Sound Beach Avenue, Old Greenwich
Le Wine Shop, 39 East Elm Street

AOC Fine Wines, 1066 North Street
Continental Wine and Spirits, 58 Williams Street
Castle View Deli, 2 Morgan Avenue
Food Emporium, 160 West Putnam Avenue
Pemberwick X-Change, 83 Pemberwick Road
Fresh Fields Whole Food Market, 90 East Putnam Avenue
Scarpellis Market, 45 Bible Street
Fuji Market, 1212 East Putnam Avenue
Old Greenwich Food Mart, Arcadia Road
The Food Emporium, 1261 Boston Post Road, Old Greenwich
Grocery Express, 1429 East Putnam Avenue
Stop and Shop, 161 West Putnam Avenue

The Department’s Liquor Control agents and officers from local police departments routinely conduct compliance checks at restaurants, cafes, and stores where alcohol is sold. Underage volunteers who are trained and provided by the Connecticut Coalition to Stop Underage Drinking participate in these undercover operations.

The six establishments charged with selling liquor to a minor on Saturday will be brought before the Liquor Control Commission for an administrative hearing, at which time each will have the opportunity to address the charges, Farrell said.

11/16/07 - Archive - Strategic Distribution, Inc. Announces Receipt of `Going Private' Proposal at $8.30 Per Share

HEADLINE:
STORY:
Strategic Distribution, Inc. (Nasdaq:STRD) today announced that the special committee of its board of directors has received a letter from William R. Berkley, Chairman of the Board of the Company, that an entity he controls proposes to acquire all of the outstanding equity interests of the Company for $8.30 per share in cash. A copy of the text of the proposal letter to the special committee is set forth below in this release. Mr. Berkley presently beneficially owns approximately 22.5% of the Company's outstanding common stock.
The Company's board of directors previously formed a special committee of independent directors to consider strategic alternatives for the Company. The committee will continue to work with William Blair & Company as the financial advisor to the Company, and the committee has retained independent legal counsel to assist it in its work. The board of directors cautions the Company's shareholders and others considering trading in its securities that it has only received the proposal and that no decisions have been made by the board of directors with respect to the Company's response to the proposal. There can be no assurance that any definitive offer will be made, that any agreement will be executed or that this or any other transaction will be approved or consummated.

Special Committee of the Board of Directors of Strategic Distribution, Inc.
c/o Strategic Distribution, Inc.

Bristol, Pennsylvania 19007
Re: Strategic Distribution, Inc. Dear Sir/Madam:
This letter is being sent to you in your capacity as members of the Special Committee of the Board of Directors of Strategic Distribution Inc. (the "Company"). The Special Committee, comprised of disinterested directors of the Company, was formed to consider and evaluate strategic alternatives that may be available to the Company, including any proposal that I, individually or through any affiliate, may make.
As you know, the Board of Directors commenced a process at the beginning of 2005 to evaluate potential strategic alternatives for the Company. At that time the Board of Directors discussed whether continued independent operation of the Company was the best way to maximize shareholder value. In that regard, the Company retained William Blair & Company on January 31, 2005 to help evaluate such strategic alternatives. Although this process has been ongoing for the past 21 months, as of yet no definitive proposal relating to a potential strategic combination has been presented to the Board of Directors.
I believe that the rationale behind the Board of Directors' decision to initiate this process in early 2005 is as valid today as it was then. In particular, I believe that the current regulatory and financial reporting environment makes it financially unattractive for an entity the size of the Company to be publicly held. In light of this belief, and in light of the process that the Company has followed to date, I am submitting for your consideration the following proposal.
I propose, through an entity I control, to acquire all of the outstanding equity interests of the Company at a price of $8.30 per share, payable in cash. I contemplate that this transaction will be accomplished through a merger, to be approved by a majority of the outstanding shares of the Company, including approval by a majority of the outstanding shares owned other than by me or my affiliates (the "Requisite Stockholder Approval"). The cash purchase price for the outstanding Company shares will be financed from currently available resources.
I believe that, with the Company's cooperation, we would be in a position to execute definitive documentation prior to the end of the year. I would not require the Company to agree to negotiate a transaction exclusively with me during this period. However, I would want the Company to agree to provide at least three business days notice to me prior to entering into any exclusivity arrangement with any third party.
I anticipate that the definitive documentation will contain customary representations and warranties, preclosing covenants and closing conditions for a transaction of this type, including obtaining the Requisite Stockholder Approval, receipt of any required regulatory consents or approvals, the absence of any material adverse change in the Company's business, and the holders of not more than 10% of the outstanding shares seeking appraisal rights.
The definitive documentation would permit the Company to respond to unsolicited proposals. The definitive documentation would also permit the Company to terminate our agreement in the event the Special Committee and Board of Directors determined that an unsolicited alternative transaction was superior to my acquisition, provided that simultaneous with such termination the Company paid to me a termination fee equal to all expenses incurred by my advisors and me (without limitation) in connection with my acquisition proposal (including all legal and accounting expenses).
I would seek to retain the existing management and employees of the Company. I currently contemplate retaining existing non-equity benefit plans of the Company.
This proposal will remain in effect until the close of business on Wednesday, November 22, 2006. If the Special Committee wishes to commence negotiations concerning my proposal, I will require that the Company enter into an agreement to reimburse me for all out of pocket expenses (not to exceed $250,000 in the aggregate) incurred by my advisors and me (including all legal and accounting expenses) in connection with my proposal and investigation in the event that the Company thereafter determines not to pursue my proposed transaction.
Of course, this proposal represents my current intent and is not a binding agreement. Such binding obligations will only arise upon the subsequent execution of definitive documentation. I look forward to your response. If you have any questions concerning our proposal, please feel free to contact me or William Mahone.
Very truly yours,
William R. Berkley

8/20/07 Greenwich Police Honor Guard Makes a Comeback

(Greenwich Citizen) - This March, two years after being disbanded, the Greenwich Police Honor Guard reappeared in a new incarnation with throwback uniforms and the same sense of purpose and duty they have always had.

After making their debut at the swearing-in ceremony of new Deputy Chief David Ridberg, the Honor Guard led the town's annual St. Patrick's Day Parade. "The guys looked real sharp," said Sgt. James Bonney, president of the GPD Silver Shield Association, which is the Greenwich Police union.

"We're not some meandering group," he continued. "We are trying to look as professional as possible."

People seemed to agree. The Guard is scheduled to lead the Memorial Day parade in Old Greenwich and will appear at the town's Salute to Veterans event - major signs of respect for a group that was disbanded in a cloud of controversy in December 2005.

According to Bonney, Police Chief James Walters disbanded the original Guard after it failed to appear at the second inauguration of First Selectman Jim Lash. Instead, members of the Guard joined Silver Shield members who were protesting outside the ceremony.

Many of the Guard's members, he said, hadn't even been present at the protest, but had been working, taking time off or on military leave.

When the Guard was disbanded, Bonney and other Silver Shield members began their efforts to reform the group as an independent entity funded by the union. They launched a fund-raising effort that eventually yielded nearly $25,000, including $18,000 from one donor, to pay for new uniforms and equipment for the 14-member squad.

The uniforms they purchased are a tribute to the uniforms worn by Greenwich police in the 1940s and '50s. "We wanted it to mean something, to go back to the original GPD look," Bonney said.

The double breasted, high collar uniforms were custom made in Massachusetts and have one particularly special feature - three stripes on the right sleeve that represent the three Greenwich officers who have died in the line of duty.

"The stripes are on the right sleeve because every time we salute, we are saluting them," Bonney explained.

The current Honor Guard attends not only town ceremonies, but also the funerals of area officers killed in the line of duty, something that many Greenwich police did on their own time.

"A lot of us used to go down on our own time, I would take days off to go to funerals," said Bonney, "but now we can go down as a unit."

Most recently, the Guard attended the funeral of one of the New York City auxiliary officers that was shot to death in March.

"When I saw them do that, that's when I really appreciated the Honor Guard the most. It was a really nice thing to do for the family and a nice way to respect the guy," Bonney said.

It is a duty that Greenwich officers take very seriously. "We are dead serious about this," said Bonney.

Now that the Honor Guard is under the control of the Silver Shield, it is an entirely voluntary undertaking. Officers formerly received pay for practicing and appearing at events, but no more.

"Guys do it because they like it," Bonney said. "One of the proudest things I ever did was help get the Honor Guard back together."

The 3k run/walk for adults, children, and their pets will be held in Bruce Park, starting in the Bruce Museum parking lot. Several local firms are supporting the run/walk, including headline sponsor UBS FINANCIAL SERVICES OF GREENWICH, as well as many others such as WEBE 108, PET PANTRY WAREHOUSE, and the AMERICAN PET PRODUCTS MANUFACTURERS ASSOCIATION. Entry fees are $25 in advance ($35 at the door) for each adult, $10 for a child under 16 - and free for pets, of which all manner are welcome! Each entrant will receive a free t-shirt and goody bag, and each participating pet, a bandana. Food and drink will be available. Registration forms will be widely distributed at various stores and animal hospitals and available at the Bruce Museum, Greenwich Town Hall, and on both the Museum’s and Town of Greenwich’s website. This will be a wonderful day for all the family and their honored pets.

The culmination of S.O.S’s ten days of fundraising is a Cocktail Reception and Silent Auction on Tuesday, May 15, 2007, from 6:30-9:00 PM at the Bruce Museum. The event is sponsored by the Board of Trustees of the Bruce Museum and by UBS FINANCIAL SERVICES OF GREENWICH. At this important fundraising event, S.O.S will honor Donna and Fred Nives with the First S.O.S Award. The Nives are co-founders of Adopt-a-Dog and have dedicated the last 25 years to rescuing animals nationwide with an emphasis on the Greenwich community. Tickets are available for this event from the Bruce Museum, 203-869-6789, ext. 328.

During S.O.S’s ‘10 Days 10 Ways,’ there will be various fundraising and awareness events in the Greenwich community, including an Open House at Greenwich Animal Control in partnership with Adopt-a-Dog on May 12, 2007, from 10:00 AM to 2:00 PM.. Come see for yourself why Greenwich needs a new animal shelter, and perhaps one of the lovely animals needing a new home will be just the one for you and your family! For information on this event and all others, please see the Town of Greenwich’s and Bruce Museum’s website.

WHO WE ARE:
S.O.S is a group of committed animal lovers organized under the aegis of the Bruce Museum. Funds raised for the new Shelter are covered under the Museum's not-for-profit status and 501(c)3. The Town of Greenwich has allocated land for the Shelter and will oversee the construction. The Bruce Museum has committed to raising $750,000. S.O.S is in its second year of fundraising and has already raised $370,000.

Greenwich’s Animal Control Shelter is in unacceptable condition with inadequate heating, no air-conditioning, poor ventilation and inadequate storage. It is only because of the dedication of Allyson Halm, Animal Control Officer, and her staff that the Shelter has been held together for so long.

Halm says: “The new Shelter will be more than just a ‘dog pound’ – it will be a humane Shelter for any lost or abandoned animal needing our assistance. Greenwich’s Animal Control has always helped domestic animals – including horses - and all manner of wildlife from swans to mice needing to be rescued. The new building will enable us at last to properly handle the needs of all the animals entrusted to our care.”

Animal Control is state-regulated and is under far stricter guidelines than any non-profit animal shelter. The new Shelter will be built to the latest stringent state and national standards. It will be clean, modern, and have proper storage facilities. It will have 20 cat condos, 12 kennels and runs, as well as an examining and grooming room. It will be a shelter of which Greenwich can be proud!

Donations of all sizes are welcome and private contributions can be used to honor loved ones by sponsoring everything from interior building tiles for $100 to the Adoption Room for $15,000. For $250,000 the Animal Control Shelter could be named for a person, friend, or pet of one’s choice. Contribution forms are on the Town of Greenwich’s website from the Animal Control department, as well as from the Bruce Museum, 203-869-6786 ext. 328. Checks can be sent to S.O.S, Bruce Museum, One Museum Drive, Greenwich, CT 06830-7100.
