Equity fund majority owner of S. Walter Packaging

A private equity fund said Thursday that it has bought a majority ownership in a Philadelphia packaging company.
S. Walter Packaging Corp.'s headquarters will stay in Philadelphia, new owner Brynwood Partners V LP said. Information on how many employees work in the city and whether that number will change was not immediately available. The terms of the sale were not disclosed.
Founded in 1904, S. Walter designs and makes various styles of packaging, bags, boxes and other supplies for retailers. It has plants in Philadelphia and Ontario, Canada, and an outlet store at 2900 Grant Ave. in Philadelphia.
Brynwood said another packaging company it owns, Uniflex Holdings of Westbury, N.Y., will be merged with S. Walter and S. Walter President Andrew Wilson will be chairman and CEO of the combined company.

Initial Unemployment Claims in U.S. Decline More Than Estimated to 304,000

Redistricting talk sparks worries

Eileen Tang walked into Parkway School to attend a PTA meeting yesterday to find other parents buzzing over the prospect of their school closing.

Earlier that morning, she, like many other parents, had read in the newspaper that First Selectman Jim Lash was calling on education officials to save the town money by addressing declining student enrollment and deciding which elementary schools they should close and when.

'We all were thinking, 'Oh no, what do we do?' ' Tang said.

Redistricting raises fear in the mind of parents and administrators who worry about the consequences of closing schools and forcing students to attend a different one that might be farther away.

'It gets thrown out there and it's a scary word to bring up,' Tang said of redistricting.

Student enrollment has been decreasing in recent years and is expected to continue its downward trend next year. About 8,827 children are expected to attend school next fall. That is about 127 fewer children than this year.

Lash has said that in order to capitalize on the smaller student population, save the town money and solve the problem of racial imbalance in some of its schools, officials should close at least one elementary school and redistribute those students to other schools in the district.

For Tang and other parents at Parkway, the threat might be closer at hand because the school already is at just 64 percent capacity. By 2008-09, decreased capacity is projected to trigger a district policy that says officials should consider closing the school.

'It's much more than a school for us,' Tang said of Parkway, adding that nearly all her friends are those she met through the school, including during the weekends when the backcountry parents congregate on the playgrounds with their children. 'We'd lose that. We would not really have any social connection back here. It would be really hard.'

Though parents were sad at the prospect of the school closing, Tang said, they also had to remind themselves that redistricting was a concept that only Lash was talking about and pursuing at this point. He made the remarks during a United Way of Greenwich legislative forum Tuesday.

When Paula Grande was laid off four years ago by a local medical equipment company, the Stamford resident in her 60s struggled to find work.

Grande, originally from El Salvador, tried temping for a few years, but said some employers found her accent to be a barrier.

Eventually, she sought the help of Jewish Family Service and a federal program run by the Stamford-based organization. Now that she has a permanent job at the CTWorks Career Center in Stamford, she helps people whose experiences echo her own.

'I don't want people to go through what I did,' said Grande, whose work involves helping job seekers with resumes and cover letters and signing them up for workshops. 'I help them a lot, no matter who they are. I enjoy it because I'm trying to make it easy for them.'

Though life after 55 is a time for retirement for some people, it becomes a time to search for work for some older residents with limited incomes.

It's not always easy.

The Senior Community Service Employment Program, a federal program, is run locally by Jewish Family Service and helps low-income, lower Fairfield County residents 55 and older transition into the work force by setting them up in part-time positions with local government agencies and nonprofit organizations. The program runs from Greenwich to Stratford.

The participants get on-the-job training and supervision, while generally working about 20 hours each week and making minimum wage. While on the assignment, participants are expected to look for permanent employment..........

Reps seek boost in clean-water funding

State legislators said yesterday they would push to restore tens of millions of dollars in budget cuts that have jeopardized efforts to lower nitrogen levels in Long Island Sound and set back projects to protect marine life and Connecticut waterways.

It could take hundreds of millions in state funds over several years to catch up with the state's goals to reduce hypoxia, or low oxygen levels in the Sound caused by nitrogen discharges from sewage plants that threaten fish and other wildlife, said state Sen. William Nickerson, R-Greenwich, a member of the legislature's finance committee and state Bond Commission.

Nickerson said that over the past several years, the legislature has cut about $80 million in funding for the state's Clean Water Fund, stalling a 1998 initiative to provide low-interest loans to towns for sewage-plant upgrades to reduce nitrogen discharges into the Sound.

The Audubon Society is among the groups pushing legislators to provide $300 million over the next two years for sewage-plant improvements to address the problem.

In 1998, Connecticut, along with New York and the federal Environmental Protection Agency, aimed to reduce nitrogen levels in Long Island Sound by 58 percent by 2014.

GWI's traffic in November 2006 was 68,048 carloads, an increase of1,652 carloads, or 2.5 percent, compared with November 2005. GWI'S trafficin the fourth quarter of 2006 through November was 143,157 carloads, anincrease of 7,620 carloads, or 5.6 percent, compared with the fourthquarter of 2005 through November.

GWI's traffic in November 2006 increased by 1,652 carloads, or 2.5percent, compared with November 2005. Toughest hole on tour in '06

At long last, the secret to winning the AT&T Pebble Beach National Pro-Am is revealed. Forget about the narrow fairways of Spyglass Hill, or the tiny greens of Pebble Beach. The key is the fifth hole at Poppy Hills.

Considered by many to be the easiest of the three AT&T courses, it turns out Poppy has teeth. According to PGA Tour statistics, the 426-yard par-4 fifth hole at Poppy Hills was the toughest hole on tour for 2006. Tougher than any hole at Winged Foot or Augusta National.

'We are significantly proud that it is a difficult golf course,' General Manager Tyler Jones said. 'We have that 18-hole ranking posted at the golf counter.'

The fifth hole played nearly a half-stroke over par (4.492) this year, making it considerably tougher than the next hardest hole, No. 11 at Augusta (4.474).

Jones said the back-right hole location turned the fifth into a beast.

'That hole is not that difficult,' Jones said. 'But when they put it back right, you have to go over water to get there.'

Poppy Hills was also the 26th-toughest course on the PGA Tour this year, which put it behind Pebble Beach (No. 19) but ahead of notoriously tough Spyglass (No. 31).

Jones said that although he's pleased with the attention the ranking brings, he also wishes that the course was set up a bit easier for the AT&T.

'I would like to see it a little more defenseless,' Jones said. 'We don't need people walking off here upset because they couldn't score here.'

At this year's tournament, eventual champion Arron Oberholser parred the fifth at Poppy during a first-round 65, but Rory Sabbatini, who finished second, had a double-bogey at the fifth during his second-round 69. Sabbatini finished five strokes behind Oberholser.

Overall, Poppy Hills played about a third of a stroke over par (72.302) to finish far behind the toughest course of the year: Winged Foot Golf Club, the site of this year's U.S. Open. Winged Foot played nearly five strokes over par (74.993) and featured three of the top-six toughest holes on tour.

Golf Digest named Callippe Preserve Golf Course in Pleasanton as one of the best new courses in the United States.

Callippe, designed by Brian Costello, was ranked ninth among public courses with greens fees under $75. King Carter Golf Club in Irvington, Va., was the top course in the category.

A dual legend effort produced the best new private course. Jack Nicklaus and Tony Jacklin teamed up to design The Concession Golf Club in Bradenton, Fla.

Osprey Meadows in Donnelly, Idaho, was the best new course over $75, and The Stanwich Club in Greenwich, Conn., was the best new remodel.


Retail Sales in U.S. Rise for First Time Since July on Holiday Discounting

Retail sales in the U.S. rose for the first time since July as shoppers took advantage of early holiday discounts, increasing the odds the economy will withstand the slump in housing.

Sales jumped 1.0 percent last month, more than forecast, after a revised 0.1 percent drop in October that was less than previously estimated, the Commerce Department said today in Washington. Purchases excluding motor vehicles rose 1.1 percent, the most since January.

Consumers, buoyed by an expanding labor market and rising wages, are keeping the economy growing at the moderate pace predicted by the Federal Reserve. Consumption accounts for about 70 percent of gross domestic product, dwarfing real estate and manufacturing. The dollar rallied and bond yields climbed.

``The consumer appears to be riding to the rescue, just when it appeared that housing and manufacturing would steal the economy's holiday joy,'' said Stephen Stanley, chief economist at RBS Greenwich Capital in Greenwich, Connecticut. ``Feels like the fourth quarter may not be so weak after all, even with the twin drags of autos and housing.''.........

Lash: Time to talk redistricting

First Selectman Jim Lash yesterday called for Greenwich public education officials to decide which elementary schools to close and when, saying failure to address declining student enrollment hinders classroom diversity and wastes taxpayers' money.

'Very unpopular subject. It was a very unpopular subject the last time we went through it. It, in effect, means redistricting and there's nothing that towns like less than redistricting,' Lash told more than 70 residents, officials and nonprofit agency leaders gathered in a Town Hall meeting room.

'Either we have to lop off some schools or we have to substantially raise the cost per student of providing education in Greenwich. We already have if not the highest this year, then one of the top four or five per-student spending rates in the state, so our issue is not whether we're spending enough.'

He spoke during an annual legislative forum sponsored by the United Way of Greenwich, a nonprofit organization. The 90-minute event featured Lash and Greenwich's representatives in the General Assembly talking about affordable housing, human services, traffic and other topics.

Public schools officials re-sponded to Lash's comments by saying that redistricting is a last resort and that they're working on alternative solutions to problems caused by declining enrollment. A policy is being developed now and should be completed by next September, Board of Education Chairwoman Colleen Giambo and Superintendent of Schools Betty Sternberg said.

'We're certainly on top of and aware of the issue of declining enrollment,' Sternberg said.

Greenwich spends more than $14,000 per year per student, according to Lash. The figure doesn't include taxpayer dollars spent on school construction projects.

Total enrollment at Greenwich elementary schools has been falling since 1999, and is expected to drop by another 127 students --AOEto about 8,827 total children -- in the 2007-08 academic year.

Three of the town's 11 elementary schools --AOEGlenville School, Parkway School and Old Greenwich School --AOEare projected to sink below 70 percent use by next academic year, according to public schools officials. It's projected to continue falling for at least the next decade, according to Greenwich Public Schools' projections.

Under school policy, if an individual school's use falls below 70 percent and 10 percent below the townwide average, officials will consider closing it. Projections show that Parkway School will meet that criteria as early as the 2008-09 academic year............

Vince DiMarco held up two drawings showing what a proposed 96-unit apartment building on the Post Road would look like at last night's Pemberwick Community Association meeting. The first reaction were murmurs about how the structure resembled a hotel.

'That would make a great hotel,' someone said.

'That's what I said,' piped in another person.

Reactions continued spiraling downward as the nearly two dozen homeowners debated the prospects of the apartment building coming to their end of town. Several homeowners are clearly opposed to building such a large residential structure even if it would replace a half-excavated construction site commonly referred to as 'the hole.'

'I don't like it,' Dan LaRusso said of the proposed apartment building.

'It should be in New York City or something,' said another Pemberwick resident Michael Morganti. 'I say put the rocks and dirt back in.'

Greenwich resident and developer John Fareri wants to build the four-story apartment building with more than 200 underground parking spaces at 644 W. Putnam Ave. In exchange for building a 42,000 square-foot structure, which is bigger than what is typically allowed on the 1.6 acre lot, Fareri promises to rent 20 of the 96 unts to tenants who must meet moderate-income guidelines. Under the guidelines, tenants, such as a single person who earns $72,054 or less or a two-person family with earnings of $90,067 or less, would pay a monthly rent of $1,200. ,,,,,,,

John Hearst Herndon, 1961-2006: 'Big guy with heart to match'

John Hearst Herndon, whose middle name reflected his connection to media magnate William Randolph Hearst, attended schools in Europe, spoke at least five languages and worked as a photographer for the Seattle P-I.

Herndon, who died Friday in his home near Snohomish, also loved to fix up cars, grow vegetables, cook for friends and collect Grateful Dead memorabilia

But his most memorable act might have been the round-the-clock care he gave Mary Peters, a friend shot point-blank in the face in July 1999.

Herndon was 45. His manner of death was determined to be natural, the Snohomish County Medical Examiner's Office said Monday

"He was a big bear of a guy with a heart to match," said former P-I reporter Mary Lynn Lyke, who wrote about Peters' struggle to recover from her wounds. "He was very generous."

P-I photographer Grant Haller, who kept in touch with Herndon over the years, said his friend "didn't suffer fools" easily but showed another side with Peters.

"His efforts at taking care of Mary Peters were incredible," Haller said.

Herndon was born June 29, 1961, in Santiago, Chile. His mother, Joanne Hearst Castro, is a niece of William Randolph Hearst. The P-I is a Hearst newspaper.

He attended schools in Switzerland, England and Greenwich, Conn., and graduated from high school in Palma de Mallorca, Spain. His experiences in Europe helped him learn French, Italian, German and Spanish; he also knew Farsi........

After 40 years, DaVinci's serves its final meal

DaVinci's Ristorante was a year-old, failing, 40-seat pizza place on a corner of downtown's main two-way street, Greenwich Avenue, when newlyweds Lisa and Tony Vitiello began renting the space in 1966.

The couple started a family as they took over the restaurant, and Tony took up extra work as a chef in Stamford to help pay the bills and keep their business going.
'We were like any young couple starting out,' Lisa recalled yesterday as loyal customers filed into the beloved restaurant, now 125 seats with an extensive menu of Italian cuisine, for the last time.

'Leaving these people is harder than anything. I could have left the day after my husband died 11 years ago. But these people --AOEI don't want to call them 'customers,' because I don't think of them that way --AOEthey started out as strangers who came here for the food, and they've become friends.'

A Greenwich institution The Avenue and East Elm Street, known for its veal parmesan served on the bone, homemade gnocchi and fresh seafood, DaVinci's closed its doors after four decades. A bank will begin renting space in the three-story building that the Vitiellos bought 20 years ago, and could open as soon as next summer.

'It's not that we're leaving out of failure, but at the height of success,' Vitiello said as her long-serving staff uncorked bottles of wine in a bustling, elegant dining room, where natural light brings out the walls' Renaissance Era-like frescoes. 'From a business standpoint, I'm extremely comfortable with the offer we got. But from a personal standpoint, it's more emotional.'

An Italy native who grew up on an island off the coast of Naples and moved to the United States at age 9, two years after her mother died, Vitiello says she'll miss the restaurant's frequenters and staff. But she wants to spend more time with her four kids and six grandchildren: Anthony, 17, Victoria, 13, Joey, 8, Ariana, 7, John, 4 and Sofia Alexandra, three weeks.

Department of Consumer Protection Announces Results of
Weekend Alcohol Compliance Checks in Greenwich

HARTFORD, August 28 – The Connecticut Department of Consumer Protection (DCP) is announcing the results of a series of compliance checks that was conducted in Greenwich on Saturday, August 25th in collaboration with the Greenwich Police Department to identify stores that would sell alcohol to persons under the legal age of 21. All 29 liquor stores and grocery stores that sell beer were tested for compliance; six failed by selling to the minor who was part of the undercover operation.

“These routine, statewide alcohol compliance checks that help us identify locations that would sell alcohol to minors are important in curbing youth access to alcohol and reducing the tragic consequences often linked with underage drinking,” Consumer Protection Commissioner Jerry Farrell, Jr. said. “Liquor retailers are expected to be diligent in asking for and examining identifications, and we encourage them to make this part of their everyday business practice. I want to extend our thanks to the Greenwich Police Department for collaborating with us, and sincere congratulations to the 23 Greenwich stores that demonstrated full compliance with the law.”

The six establishments charged with selling liquor to a minor on Saturday will be brought before the Liquor Control Commission for an administrative hearing, at which time each will have the opportunity to address the charges, Farrell said.

This letter is being sent to you in your capacity as members of the Special Committee of the Board of Directors of Strategic Distribution Inc. (the "Company"). The Special Committee, comprised of disinterested directors of the Company, was formed to consider and evaluate strategic alternatives that may be available to the Company, including any proposal that I, individually or through any affiliate, may make.
As you know, the Board of Directors commenced a process at the beginning of 2005 to evaluate potential strategic alternatives for the Company. I contemplate that this transaction will be accomplished through a merger, to be approved by a majority of the outstanding shares of the Company, including approval by a majority of the outstanding shares owned other than by me or my affiliates (the "Requisite Stockholder Approval"). The cash purchase price for the outstanding Company shares will be financed from currently available resources.
I believe that, with the Company's cooperation, we would be in a position to execute definitive documentation prior to the end of the year. I would not require the Company to agree to negotiate a transaction exclusively with me during this period. However, I would want the Company to agree to provide at least three business days notice to me prior to entering into any exclusivity arrangement with any third party.
I anticipate that the definitive documentation will contain customary representations and warranties, preclosing covenants and closing conditions for a transaction of this type, including obtaining the Requisite Stockholder Approval, receipt of any required regulatory consents or approvals, the absence of any material adverse change in the Company's business, and the holders of not more than 10% of the outstanding shares seeking appraisal rights.
The definitive documentation would permit the Company to respond to unsolicited proposals. The definitive documentation would also permit the Company to terminate our agreement in the event the Special Committee and Board of Directors determined that an unsolicited alternative transaction was superior to my acquisition, provided that simultaneous with such termination the Company paid to me a termination fee equal to all expenses incurred by my advisors and me (without limitation) in connection with my acquisition proposal (including all legal and accounting expenses).
I would seek to retain the existing management and employees of the Company. I currently contemplate retaining existing non-equity benefit plans of the Company.
This proposal will remain in effect until the close of business on Wednesday, November 22, 2006. If the Special Committee wishes to commence negotiations concerning my proposal, I will require that the Company enter into an agreement to reimburse me for all out of pocket expenses (not to exceed $250,000 in the aggregate) incurred by my advisors and me (including all legal and accounting expenses) in connection with my proposal and investigation in the event that the Company thereafter determines not to pursue my proposed transaction.
Of course, this proposal represents my current intent and is not a binding agreement. Such binding obligations will only arise upon the subsequent execution of definitive documentation.
